MOTOR VEHICLE LEASE AGREEMENT

Among the subscribers EDWARD CHRISTIAN PEREZ SANDOVAL, of legal age, identified with document ID No. 1,037,587,920, who acts in the name and representation of TRANS GTN & RENT CAR TRAVEL S.A.S, with NIT. 901.475.954-8, with main address in the city of Medellín, duly authorized to conduct the business activities, who from now on will be called (“THE LESSOR”); and , of legal age, identified with document ID No. , domiciled in , who from now on will be called (“THE LESSEE”); and who together will be called ("The Parties"), we have agreed to enter into this motor vehicle leasing Agreement, which will be governed by the clauses stipulated in this contract and what is not stipulated, by the latest legal provisions in effect in Colombia.

1. PURPOSE OF THE CONTRACT: The LESSOR leases to the LESSEE the motor vehicle with the following characteristics:

First Paragraph: THE LESSEE agrees that the vehicle described is in good mechanical condition, body, paint, with equipment and accessories; that he has reviewed and received received to satisfaction.

Second Paragraph: THE LESSEE guarantees that the vehicle will circulate exclusively in the national territory, will be used only for the transportation of people and must be driven only by the LESSEE, who will not sublease or allow third parties to drive it, nor will it be driven in any other way, without the written consent of the LESSOR.

Any additional authorized drivers must be informed in writing and with communication to the Lessor.

“Additional Authorized Driver(s)(AAD) means any individual, in addition to Lessee, who has permission of the Lessee and the Lessor to drive the vehicle.

First Paragraph: At the end of the period on the stipulated day and time, the LESSEE will return the vehicle in the same conditions in which it was received, to the entire satisfaction of THE LESSOR. In the event that the LESSEE returns the vehicle to a location other than the one agreed upon, the LESSEE will have to pay an extra charge. The Agreement may be extended under the same conditions, at the request of THE LESSEE after acceptance by THE LESSOR. In this case, the date of the start of the extension and the end of the new term is noted. If after 24 hours of the day and time set for the return of the rented vehicle, the extension of the contract has not been requested, THE LESSOR will terminate it and will proceed by legal means to recover the vehicle using civil or criminal proceedings against of THE LESSEE, who will be responsible for the payment of all values corresponding to the lease, as well as those caused in cases of the commission of

infractions or crimes. THE LESSEE expressly authorizes THE LESSOR to remove the leased vehicle at any time and place where it is located, when in his or her opinion it is causing damage to the vehicle or third parties or violating any legal order. From the moment the rented vehicle is received by THE LESSEE, THE LESSEE, becomes the custodian and is obliged to return it at the end of the lease in the same conditions in which the vehicle was received. Failure to do so will constitute a crime of theft and the corresponding criminal and civil actions will be initiated.

 

3. AMOUNT DUE AT LEASE SIGNING.

The amount to be paid for leasing the vehicle described in the first clause with the duration described in the second clause is $ .

First Paragraph: Other additional items that are part of the rent are calculated at the time of return of the vehicle.

Second Paragraph: THE LESSEE is obliged to pay the entire rental fee in advance at the time of delivery of the vehicle.

Third Paragraph: at the time of the return of the vehicle that is the subject of this contract, it will be verified if the client owes additional amounts for other concepts contemplated in this contract, which must be paid at time of return to THE LESSOR.

 

4. WARRANTY.

THE LESSEE will provide a signed credit card voucher as collateral for the sum of $ , expressly authorizing THE LESSOR to make total or partial non-face-to-face payments, as deems it appropriate, in order to cover any of the stipulated benefits, without the need for prior notice or other formality.

 

5. LESSEE RESPONSIBILITIES

Give immediate notice and deliver the order or summons in cases of having committed any violations; The value of the fines and surcharges will be included in the account. In the case of non-compliance, THE LESSOR will initiate the corresponding legal action. For the purposes of this contract, the lease is stipulated for periods of 24 hours that will be computed from the day and time that THE LESSEE receives the vehicle; If not delivered at the exact time and place at the end of the lease, each hour or fraction of delay in return will have a surcharge of $ . The LESSEE must pay: a) the stipulated lease until the vehicle is returned to the satisfaction of THE LESSOR; b) the amount corresponding to insurance; c) the amount of the fuel used; d) damage caused to the vehicle; e) Damage caused to people traveling in the vehicle or to third parties in cases not covered by insurance; f) Loss of Documents or License Plates: the equivalent of a daily fee plus the value of the expenses to obtain new documentation or a new license plate from the traffic authorities will be charged; g) Loss of keys: the value of the expenses to obtain the new keys will be charged.

First paragraph: The sanctions for violations committed to the Traffic Law or regulations. If during the term of this contract the vehicle suffers an accident, depending on the circumstance in which it occurred, THE LESSEE must notify THE LESSOR in the following steps: 1) If it is an accident due to assault, theft or detention of the vehicle, THE LESSEE must notify TRANS GTN & RENT CAR TRAVEL S.A.S, immediately, not exceeding 30 minutes, counted from the occurrence of the accident. 2) If it is a collision or accident in which there are victims or third parties involved, the notification must occur within two (2) hours after the incident occurred, and this period cannot be exceeded. It is understood that THE LESSEE is obliged to notify the competent authorities of the occurrence of any accident, for the preparation of the respective police report or complaint, and it is stipulated that he must send the original of the report or reports to TRANS GTN & RENT CAR TRAVEL S.A.S. report within a maximum of 48 hours after the incident occurred. The expenses derived from these procedures will be assumed by THE LESSEE, who will not have the right to the substitution or replacement of the leased vehicle and will lose insurance coverage. THE LESSEE agrees to strictly comply with the provisions of this Agreement. Any violation will entitle THE LESSOR to enforce the credit instrument signed by the LESSEE.

 

5. LESSOR RESPONSIBILITIES. THE LESSOR agrees to deliver to THE LESSEE the leased vehicle at the agreed time and place, with all its belongings and in operational condition. THE LESSOR is obliged to deliver to THE LESSEE the vehicle with all its accessories and provided with the necessary documents for its circulation. In turn, THE LESSOR declares and guarantees that the vehicle: a) is up to date and in accordance with the applicable law, all required permits, reviews, legal obligations and licenses, including, among others, Mandatory Insurance (SOAT). , property card, Technical-mechanical and gas emission inspection; and b) taxes, fines or summonses have been paid.

 

6. PROHIBITIONS. THE LESSEE is expressly prohibited from: a) Giving use other than what is stipulated in this agreement; b) sublease; c) passengers transport or other type of public service; d) Give sports use; e) Transport cargo or heavy packages f) Use in dangerous activities g) Use in illegal activities; h) Driving the vehicle while intoxicated or under the influence of alcohol or drugs i) Driving without the corresponding license issued by the competent authority and for that type of vehicle; j) Driving in violation of one of the traffic laws or regulations; k) Driving outside the Republic of Colombia l) Using the vehicle on terrain not suitable for its conditions; m) Excess capacity of the number of people or cargo allowed or established in the registration.

 

7. TRAFFIC VIOLATIONS: In the event of traffic violations occurring during the term of the agreement, THE LESSOR may, depending on his need, manage the change of violator or pay the fine directly. However, it is the obligation of THE LESSEE to pay the competent authority or reimburse the amount paid by THE LESSOR as the case may be. Any claim about the origin or inadmissibility of traffic fines must be made to the corresponding traffic agency, without this preventing or delaying the obligation for THE LESSEE to reimburse THE LESSOR. These traffic violations include photo fines, even when they have not been notified during the validity of the contract.

First Paragraph: In any case, in which THE LESSOR has to assume costs for infractions, any other violation, legal or any other nature derived from this agreement and which are the responsibility of THE LESSEE, all expenses incurred will be charged. Tow truck: In the event that a tow truck has to be used to return the Vehicle to the agency or to take it to a workshop, for reasons not attributable to THE LESSOR, THE LESSEE will be charged the value of this service. Public Parking: If during the term of the contract and for reasons not attributable to THE LESSOR, the Vehicle is directed to a public parking lot, the amount charged by the establishment and the amount necessary to remove it from it will be charged. Release of the Vehicle: If the Vehicle is detained by the competent authorities as a result of an incident in which it is involved, the amounts necessary for its release will be charged, including both the services of the person who had to be hired for the procedure. , such as release costs, parking and all other expenses incurred. Additionally, THE LESSEE must pay the fee until the vehicle is released and returned to TRANS GTN & RENT CAR.

 

8. VEHICLE INSURANCE CONTRACT. THE LESSEE contracts the rental of the vehicle with BASIC INSURANCE for a value of $ , which covers the risks of non-contractual civil liability, so THE LESSEE is responsible for loss, damage, destruction or deterioration of the parts or accessories of the vehicle, in these cases the amount to be paid will be determined by THE LESSOR's trusted insurance company.

With an additional charge THE LESSEE may have access to EXTENDED INSURANCE that has basic insurance coverage plus the right not to pay the value of the deductible to the insurer, leaving this obligation in charge of THE LESSOR.

Second Paragraph: To be entitled to this extended insurance THE LESSEE must pay THE LESSOR the amount listed in the following table:

Third Paragraph: LOSS OF INSURANCE COVERAGE: THE LESSEE will lose insurance coverage when: a) Does not complete the accident report for the insurer within forty-eight (48) hours following the accident. b) Do not file a complaint, its extension and the records in case of theft. c) Deliver the Vehicle to a third party under any title, without prior written authorization from THE LESSOR. d) Transit with the Vehicle outside the national territory. e) is negligent in the material and legal custody of the Vehicle, especially if it is left abandoned, or parked with the doors unlocked or with the windows down, with the ignition key on or in any other careless situation. f) acts with intent in accidents that occur with the Vehicle or in theft events. g) Make inappropriate use of the Vehicle. The following situations are considered inappropriate use, among others:

  • Driving on flooded roads or without normal traffic conditions that put the Vehicle at risk.
  • Driving while intoxicated or under the influence of psychoactive substances.
  • The vehicle is used for purposes other than the specific one stated in the driving license or in the manufacturer's specifications, such as transporting people or goods through the collection of remuneration of any kind; transport people or goods in excess of the capacity reported by the vehicle manufacturer (locations, weight or extension); haul or tow any vehicle, participate in competitions, tests, races, use it for driving lessons, transport explosives, fuels or chemical or flammable materials, as well as rides on dunes and beaches or carry out any illegal activity with the Vehicle.
  • When you cause damage to the Vehicle due to losing oil through the crankcase or with a broken radiator, both problems are alerted by the red light on the Vehicle panel, regardless of the reason or the place where the event occurred.
  • THE LESSEE damages the bodywork, paint or mechanical parts due to carelessness used of the vehicle.

Fourth Paragraph: In the event where THE LESSEE loses insirance coverage, THE LESSEE must respond to THE LESSOR or third parties for any damages that may be caused and expressly releases THE LESSOR from civil, criminal and any liability in the case of an accident in which people are injured. people traveling in the vehicle or third parties involved, or in the case of material damage to properties or third partie properties, the LESSEE being the exclusive responsible of the legal consequences that arise, in everything that exceeds the coverage determined in this agreement. . If there is loss of coverage for the reasons contemplated in this agreement, THE LESSEE is obliged to replace the vehicle or recognize the total value of its repair in the workshop chosen by THE LESSOR and to pay for the damages caused.

 

9. COMPROMISE CLAUSULE. Any controversy or difference that may arise on the occasion of this agreement, its execution and liquidation, will be resolved by an arbitration court, in accordance with Decree 2279 of 1989, Law 446 of 1998 and Decree 1818 of 1998, for which they are established the following rules: a) The type of arbitration that will be adopted is LEGAL. b) The court will be made up of three (3) arbitrators, unless the matter to be debated is minor, in which case the arbitrator will be only one (1); c) The internal organization of the court will be subject to the rules provided in the legal provisions that regulate commercial arbitration and conciliation centers; d) The court will decide the law, e) The court will operate in the city of Medellín.

 

10. HANDLING OF PERSONAL DATA: Pursuant to Law 1266 of 2008, Law 1581 of 2012 and its regulatory decrees 1377 of 2013 and 886 of 2014, TRANS GTN & RENT CAR TRAVEL S.A.S, in execution of its activity, has published the Personal Data Protection Manual. Personal Data, on its website www.transgtnrentacar.com   or you could request it by email at rentas@transgtnrentacar.com, so the personal data contained in this agreement and THE LESSE has provided, is managed in accordance with the current legal regulations; Likewise, TRANS GTN & RENT CAR TRAVEL S.A.S understands that you authorize that, according to the purposes established in the Manual, your personal data be used and treated in the stipulated manner.
